Contracts in English for Beginners to Avoid Risks
— How to Use Samples to Work on Contracts in English

We often hear that contracts in English are more difficult to deal with compared to contracts in Japanese. People often say that they are not always able to sufficiently review the draft presented by the other party or that they cannot insist on the modifications they proposed. However, the risks inherent in international commercial transactions are different from those in domestic transactions. This means when contracts are concluded in the same way one would deal with a domestic commercial transaction without sufficiently addressing such risks, one could end up suffering from unexpected damages.

In this seminar, Mr. Tajima, who has in-depth experience in international transactions, will cover the basics of working on contracts in English based not on abstract theory but on actual risks in commercial transactions. In addition, by referring to frequently used contract types, he will explain how to use samples to effectively draft and review contracts in English.

Graduated from Kyoto University Faculty of Law in 2005. Admitted to practice in Japan and joined Nagashima Ohno & Tsunematsu in 2006. Admitted to practice in the State of New York in 2013. Seconded to the New Delhi Office of Amarchand & Mangaldas & Suresh A. Shroff & Co (Current Shardul Amarchand Mangaldas & Co), the largest law firm in India, from 2012 to 2013. Worked at the HCMC Branch of Nagashima Ohno & Tsunematsu from 2013 to 2016 (as a foreign legal consultant in Vietnam). Specializes in mergers and acquisitions, joint ventures, corporate matters, risk management and compliance issues, general commercial transactions, and other domestic and international corporate legal affairs.
