International English Contracts for Beginners—Learn to draft English contracts in one day!

This seminar aims to further hone the skills of the Introductory Course participants. This is the first time for The Japanese Institute of International Business Law and Westlaw Japan to hold an exercise-only seminar, where we will ask the participants to draft contracts in English based on some tips that will be shared during the seminar.
Our lecturer is Attorney Toshiaki Hasegawa, an expert of international matters, working at the forefront and well-known for his careful and thorough coaching. Mr. Hasegawa graduated from the University of Washington (Seattle) and worked at prestigious law firms in New York and London. As legal affairs globalize, we encourage you to utilize this seminar as an opportunity to train your members engaged in international legal matters.

Ⅰ. Drafting legal documents in English in the course of negotiation 1. Tips for drafting meeting minutes

Ⅱ. Drafting contracts in English (Exercise) 1. Drafting Sales Agreements by exchanging simple letters
2. An example of a Confidentiality Agreement (SA/NDA) signed when commencing negotiations for closing a contract to strengthen the global supply chain
3. International License Agreements for global supply chains

4. A “tug of war” with each party insisting on their own governing laws and the amendment to the Civil Code
  • (1) The UN Convention on Contracts for the International Sale of Goods (Vienna Convention) to end the “tug of war”
  • (2) Amendment to the Civil Code (Law of Obligations), the articles of the Vienna Convention, and the globalization of Private Law rules
〔Q&A〕 Questions will be answered accordingly in each session and during the 10-15 minute Q&A session at the end of the seminar.
Lunch break will be from 12 pm to 1 pm with 10 min breaks in between sessions.
